Savvy inhouse counsel surf the web to find sample forms and agreements to use in their practice. If you’re like me, the first place you head to is FindLaw’s Corporate Counsel Center – they have a decent collection of a wide range of forms and agreements. While FindLaw is a good (and free) resource, it doesn’t appear as if its collection is being updated regularly. The forms also have to be copied from your browser into a word processor and cleaned up – which is inconvenient when you need a form in a pinch. I’m happy to report that there is a new player in town – SolarSec.com – they’ve compiled an enormous database of agreements that are culled from the SEC’s Edgar database.
Did I say enormous? Their database has "900,000 agreements and other legal documents of around 30,000 companies representing 1,500 industries" – what’s more, they have an incredibly powerful search algorithim that lets you burrow down into their data with incredible precision. Want to compare specific representations given in asset purchase agreements in the mining industry? With SolarSec, you are only a few keystrokes away, and you can download a form in a word processor friendly format in seconds. Of course, there’s a catch – SolarSEC charges for access.
