The Practising Law Institute has made yet another free download available to the public. The article, written by Spencer G. Feldman and Constantine S. Potamianos (Greenberg Traurig,
LLP), focuses on a new wave in corporate governance - the advent of technology committees of boards of directors. The authors discuss eight key areas where technology committees might prove invaluable to corporate boards. These areas "range from the informational (keeping the board abreast of technological advances) to the quasi-legal (protection of intellectual property), from the business critical (evaluating the company’s technological position in a competitive environment) to the self-preservation crucial (understanding Internet security threats) and compliance critical (data retention, record-keeping and privacy guidance)."
Before you start sounding the "dork alert" sirens, you should take note that many companies have already established board-level technology committees including Pfizer, Monsanto, Medtronic, Proctor & Gamble, Cisco Systems, Hewlett Packard and more. PLI also points to Mellon Financial’s technology committee - and its charter is available in PDF format.
